The project of light mineral oil retail trade management in Lithuania had two aspects:
1. Participation in the reorganization of AB "LIETUVOS KURAS" as a strategic
partner. 2. Management of a part of AB "LIETUVOS KURAS"`s business by
UAB "Baltic Petroleum", aimed at steady raising of its capitalization
and further resale.
1. Participation in the reorganization of AB "LIETUVOS
KURAS" as a strategic partner.
During the privatization program in Lithuanian
Republic, in October 29,1999 there was a sale agreement signed for 67.7%
voting shares of AB "LIETUVOS KURAS" between the State property fund
and KOPSKE International Holdings B.V. company. Eventually, majority
shareholder KOPSKE International Holdings B.V. has found out an inability
of AB "LIETUVOS KURAS" management to work in not state (non subsidy)
status. Financial activities had headily descended and the company was
near a bankruptcy. To manage this crisis KOPSKE International Holdings
B.V. found a strategic partner UAB "Baltic Petroleum", who had a great
experience in Eastern-European markets. After detailed analysis of the
AB "LIETUVOS KURAS"`s activity, "Baltic Petroleum", considered that
it is possible to liquidate the crisis situation and to lead the company
to normal yield by conducting organizational, domesticity and financial
actions. The plan of reorganization was aimed at preventing AB "LIETUVOS
KURAS" company from possible bankruptcy, taking interest in its financial
state, earning a profit for shareholders and coming to terms with creditors.
However, this plan was not accepted by creditors of "LIETUVOS KURAS"
and "Baltic Petroleum" acted as an antirecessionary manager. UAB "Baltic
Petroleum" was founded on 26th of June, 2000 in the Ministry of Economy
of Lithuanian Republic. Nominal capital of the company in the amount
of 10000 was fully paid on 8th of July, 2000 and divided to 100 shares
- nominal and voting. All 100 shares are in ownership of an affiliated
company of Rosh Group - B.D.M. Holding S.A., the company that is set
up and acts under the law of Luxemburg, registered under # 58220 and
has the following address - Victor Hugo 40, L-1750, Luxemburg.
2. Management of a part of AB "LIETUVOS KURAS" business by UAB
"Baltic Petroleum" company, aimed at steady raising of its capitalization and further sale.
There were three contracts laying in the core of mineral oil retail
trade conducted by UAB "Baltic Petroleum":
The contract between UAB "Baltic Petroleum" and AB "LIETUVOS KURAS"
on managing of 31 gas-filling stations. The contract settled all
the terms related to ownership, commercial exploitation and financial
responsibilities of the parties.
The credit contract between UAB "Baltic Petroleum" and ROSH Credit
International s.a.h, which supplied BP with working capital. The working
capital was used for buying light mineral oil and for its further retail in filling stations.
The supply agreement of light mineral oil between UAB "Baltic Petroleum"
and "Lukoil Baltija". The frame contract, determining pricing, validity of supply and payment.
UAB "Baltic Petroleum" had a considerable market share in Lithuanian
mineral oil retail market - 13%. In average by the end of 2001 one filling station
had been selling 1650 liters of fuel in 24 hours (51150 liters from all network of
filling stations) with 15% gross margin. Notwithstanding a high level of competition,
sales grew steadily throughout 2002 year. Thus, the company became very attractive
for investors. After long negotiations with "Lukoil Baltija" Servisas and Yukos
UAB "Baltic Petroleum" was sold to "Lukoil Baltija" Servisas - subsidiary of
Russian oil giant company Lukoil in Lithuania.
